Phillips is the 29-year-old son of Princess Anne, the Queen's daughter.
The palace says no date has been set for the wedding.
Kelly is a 31-year-old management consultant who Phillips met at the Canadian Grand Prix in Montreal in 2003. She moved to Britain soon after meeting Phillips.
Phillips is 10th in line to the throne, but holds no royal title and does not carry out official royal duties. He works for the Royal Bank of Scotland.
